Company Formation

Currently, establishing a general partnership (sp.j.), limited partnership (sp.k.) or limited-liability company (sp. z o.o.) is possible via the S24 online system without the need to visit a notary’s office. Creating an account in the S24 system is available to anyone with a Trusted Profile (Profil Zaufany). Importantly, forming a limited partnership or a limited-liability company is also possible for non-EU foreign nationals who do not hold a residence permit in Poland.

All necessary documentation, with the articles of association at the forefront, is prepared and signed by the founders via the S24 portal and a Trusted Profile. The application for company registration submitted to the relevant registry court is also prepared and paid for online. The total registration fees for an online company formation amount to PLN 250 and do not include notarial costs, which is another advantage of this method.

After obtaining the entry in the National Court Register (KRS), which typically takes about a week, the remaining formalities must be completed, such as:

• filing a notification with the Central Register of Beneficial Owners (CRBR), which is a register of natural persons who represent and hold shares in commercial-law companies,
• settling the civil-law transaction tax (PCC) on the articles of association by filing the relevant declaration and paying the tax to the appropriate Tax Office,
• preparing and submitting an identification notification to the Tax Office, covering all data required by law.
